Terms and Conditions

1. Introduction and Acceptance

These Terms and Conditions (“Terms”) govern access to and use of the BILETO website, ticketing tools, promoter tools, mobile check-in tools, referral tools, payment flows and related services (collectively, the “Platform”). By accessing or using the Platform, you agree to be bound by these Terms.

If you use the Platform on behalf of a company, venue, event brand or other entity, you represent that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, do not use the Platform.

2. Definitions

  • “BILETO”, “we”, “us” or “our” means the BILETO entity operating the Platform.
  • “Organiser” means any person or entity that creates, publishes, manages or sells tickets for an event through the Platform.
  • “Buyer” means any person who browses, buys, receives or uses a ticket, registration, pass, voucher or entry right through the Platform.
  • “Promoter” means any user who shares a tracked link, referral link, affiliate link or official promoter link connected to an event or campaign.
  • “Event” means any in-person, virtual or hybrid activity, experience or gathering published on the Platform.
  • “Content” means text, images, logos, videos, listings, descriptions, policies, data, comments and other material uploaded to or made available through the Platform.

3. Eligibility and Accounts

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an Organiser or Promoter account. Buyers under that age may only use the Platform where permitted by law and under the supervision of a parent, guardian or authorised adult.

You must provide accurate, current and complete information and keep your login credentials secure. You are responsible for all activity carried out through your account.

We may refuse registration, require identity verification, or suspend or restrict access where we reasonably consider this necessary for fraud prevention, security, legal compliance or protection of the Platform.

4. Role of BILETO

BILETO provides software, infrastructure and payment-related workflows that allow Organisers to publish Events, sell tickets, manage attendees, enable referrals, and scan entries. Unless expressly stated otherwise, BILETO is not the organiser, host, venue owner or operator of any Event.

The Organiser is solely responsible for the Event, including its content, delivery, safety, legality, permits, staffing, venue arrangements, age restrictions, accessibility disclosures, refund policy and compliance with applicable laws.

BILETO may provide customer support, payment handling assistance and anti-fraud controls, but this does not make BILETO responsible for the Event itself.

5. Event Listings and Organiser Responsibilities

Organisers must ensure that all Event information is accurate, not misleading and kept up to date, including date, time, location, ticket tiers, capacity, eligibility requirements, age restrictions and refund terms.

Organisers must hold all rights, licences, consents and approvals needed to publish and run their Events and to use all Event-related Content uploaded to the Platform.

Organisers must not publish Events that are unlawful, fraudulent, deceptive, dangerous, discriminatory, infringing, or otherwise prohibited by these Terms or by applicable law.

Organisers are responsible for their staff, contractors, volunteers, agents and Official Promoters acting on their behalf.

Organisers must honour valid tickets issued through the Platform, except where refusal is legally required or reasonably necessary for safety, venue rules, fraud prevention or serious breach of Event rules.

6. Buyer Terms

By purchasing or obtaining a ticket through the Platform, the Buyer enters into a transaction with the relevant Organiser. The Organiser, not BILETO, is responsible for the Event and for setting and administering the Event's refund and attendance rules, subject to these Terms and applicable law.

Buyers must review the Event details carefully before purchasing, including ticket type, date, venue, age limits, and any refund restrictions or transfer conditions.

A ticket may not be copied, resold, transferred, advertised or used for commercial purposes except where the Organiser, the Platform functionality, and applicable law permit it.

Admission remains subject to venue capacity, safety checks, event rules and any lawful right of refusal.

7. Tickets, Check-In and Entry

BILETO may issue tickets in digital format, including QR codes, barcodes, wallet passes or other electronic proof of purchase. Each valid ticket is generally intended for single use unless the Event expressly states otherwise.

Once a ticket has been scanned or otherwise redeemed, it may not be used again. BILETO may invalidate duplicated, tampered, fraudulently obtained, refunded, chargebacked or unauthorised tickets.

The Organiser is responsible for the operation of the event entry process. BILETO does not guarantee uninterrupted scanning, internet availability, venue equipment, or uninterrupted access to third-party wallet or device services.

8. Referral, Tracking and Promoter Terms

BILETO may allow tracked links, referral links and promoter programs as a core feature of the Platform. Organisers may choose whether to activate referral commissions, define eligible ticket types, set commission rules, approve Official Promoters and define payout timing.

Promoters must use referral tools honestly and lawfully. Promoters must not use spam, fake accounts, misleading advertising, impersonation, coupon baiting, self-dealing, automated bots, unauthorised paid ads using another party's brand, or any practice designed to manipulate attribution or commissions.

Commissions are only earned on valid completed transactions that remain non-refunded, non-reversed and non-chargebacked for the applicable holding period. BILETO may reverse, withhold, offset or cancel commissions where fraud, abuse, refunds, duplicated referrals, policy breaches, errors or disputes are reasonably suspected.

BILETO may require Promoters to complete identity, tax or payout verification before releasing funds. Organisers remain responsible for deciding whether referral programs are lawful and suitable for their Events and jurisdictions.

9. Fees, Pricing and Payouts

BILETO may charge platform fees, service fees, payment processing fees, subscription fees, accelerated payout fees, promoter-related fees or other disclosed charges. Applicable fees will be shown at checkout, in the Organiser dashboard, in pricing pages or in a separate commercial agreement.

Fees may be charged to the Buyer, absorbed by the Organiser, or split between them, depending on the Event setup and the Platform configuration selected by the Organiser.

Payouts to Organisers and Promoters are subject to payment processor settlement times, reserve requirements, fraud checks, chargeback exposure, account verification, disputes, legal holds and minimum payout thresholds.

BILETO may delay, split, hold or refuse payouts where reasonably necessary to manage refund exposure, chargeback risk, suspected fraud, sanctions screening, regulatory requirements or breach of these Terms.

Unless required by law or expressly agreed otherwise, fees are non-refundable once the relevant service has been performed.

10. Refunds, Cancellations and Event Changes

Each paid Event must have a clearly stated refund policy before tickets are sold. The Organiser is responsible for setting that policy and for responding to refund requests within a commercially reasonable period.

If an Event is cancelled, the Organiser is responsible for issuing refunds where required by law or by the Organiser's stated policy. If an Event is postponed, rescheduled, materially changed or relocated, the Organiser must promptly notify affected Buyers and manage refunds, credits or revalidation of tickets in accordance with applicable law and the stated Event policy.

BILETO may, but is not obliged to, facilitate the technical processing of refunds, credits, ticket voiding or attendee communications on behalf of the Organiser.

Where BILETO has already remitted funds to an Organiser, the Organiser authorises BILETO to recover refund amounts, processing costs, chargeback amounts and related losses from future payouts or by direct repayment.

11. Payments, Chargebacks and Risk Controls

Payment services may be provided by third-party processors. By using the Platform, you also agree to any applicable third-party payment terms presented during onboarding or checkout.

You authorise BILETO and its payment providers to process transactions, refunds, payout reversals, reserve holds, chargebacks, recoveries and verification checks in connection with use of the Platform.

Organisers bear ultimate responsibility for the economic consequences of their Events, including refunds, card scheme disputes, chargebacks, fines caused by prohibited activities, and losses arising from inaccurate Event information or breach of these Terms.

BILETO may implement reserves, rolling holds, delayed settlement, transaction monitoring, document requests and other reasonable controls to manage financial and fraud risk.

12. Prohibited Conduct

You must not: (a) use the Platform for unlawful, deceptive or fraudulent purposes; (b) infringe another person's intellectual property, privacy, publicity or contractual rights; (c) distribute malware, scrape the Platform without permission, interfere with security features, or reverse engineer protected parts of the Platform except as allowed by law; (d) bypass fees, off-platform divert transactions arising from the Platform, or manipulate analytics, scans, referrals or payouts; (e) publish Events involving prohibited goods, prohibited services or activities that create unacceptable legal, brand or payment risk; or (f) harass, abuse or discriminate against other users.

We may investigate suspected misuse and take action including content removal, payout holds, account suspension, cancellation of tickets or referral commissions, or reporting to authorities or payment partners where appropriate.

13. User Content and Intellectual Property

You retain ownership of the Content you upload, subject to the rights you grant under these Terms.

You grant BILETO a worldwide, non-exclusive, royalty-free licence to host, reproduce, display, adapt, distribute and use your Content as reasonably necessary to operate, promote, secure and improve the Platform and the relevant Events, including event pages, referral pages, checkout flows, receipts, support workflows and anti-fraud review.

You represent that you have all rights needed to upload the Content and that the Content does not infringe any third-party rights.

BILETO and its licensors retain all rights in the Platform, including software, workflows, branding, dashboards, designs, databases and analytics, except for third-party rights and user Content.

14. Data, Privacy and Communications

Use of the Platform is also subject to the BILETO Privacy Policy and Cookie Policy, as updated from time to time.

Organisers are responsible for ensuring that their collection and use of attendee data complies with applicable privacy and marketing laws, including any rules relating to consent, direct marketing, disclosure and cross-border data handling.

BILETO may send transactional messages relating to purchases, security, payouts, policy updates, account status, event operations and service functionality. Marketing messages will be sent in accordance with applicable law and user choices where required.

15. Availability and Service Changes

We may modify, suspend or discontinue any part of the Platform at any time, including features, pricing, referral logic, payout settings, APIs or integrations.

While we aim for reliable service, the Platform is provided on an “as available” and “as is” basis. We do not guarantee uninterrupted availability, error-free operation, successful delivery of every message, or compatibility with every device, venue setup, browser, scanner or third-party service.

16. Suspension and Termination

We may suspend, restrict or terminate access to the Platform, remove Events or Content, cancel tickets, disable referral links, or withhold payouts where we reasonably believe there is a breach of these Terms, fraud risk, security risk, legal exposure, payment risk, reputational risk or harm to users or to the Platform.

You may stop using the Platform at any time. Termination does not affect accrued rights, payment obligations, refund obligations, chargeback liability, indemnities or any provisions that are intended to survive termination.

17. Disclaimers

To the maximum extent permitted by law, BILETO disclaims all implied warranties, representations and conditions, including merchantability, fitness for a particular purpose, title and non-infringement.

BILETO does not warrant the conduct, quality, safety, legality, accessibility or success of any Event, or the identity, actions or reliability of any Organiser, Buyer, Promoter, venue or third party.

18. Limitation of Liability

To the maximum extent permitted by law, BILETO will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, goodwill, data, business opportunity or anticipated savings, arising out of or in connection with the Platform, any Event or these Terms.

To the maximum extent permitted by law, BILETO's aggregate liability arising out of or relating to these Terms will not exceed the greater of: (a) the fees paid to BILETO by you in the six months before the event giving rise to the claim; or (b) AUD 100.

Nothing in these Terms excludes or limits any non-excludable rights you may have under the Australian Consumer Law or other applicable mandatory law.

19. Indemnity

You agree to indemnify, defend and hold harmless BILETO and its officers, directors, employees, contractors, affiliates and service providers from and against claims, liabilities, losses, damages, judgments, penalties, fines, costs and expenses (including reasonable legal fees) arising out of or related to: (a) your Events; (b) your Content; (c) your breach of these Terms; (d) your misuse of the Platform; (e) your violation of law; or (f) your infringement of any third-party rights.

20. Governing Law and Disputes

These Terms are governed by the laws of Victoria, Australia, unless mandatory law requires otherwise.

You agree to submit to the exclusive jurisdiction of the courts of Victoria, Australia, except where applicable consumer law permits proceedings elsewhere.

Before starting formal proceedings, the parties will use reasonable efforts to resolve the dispute by written notice and good-faith discussion within 30 days.

21. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on the Platform with a revised “Last updated” date. Unless a different effective date is stated, changes take effect when posted.

Your continued use of the Platform after the effective date of updated Terms constitutes acceptance of the revised Terms.
